Please read these Terms of Service ("Terms") carefully before using ReplyMe. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About ReplyMe
ReplyMe ("we", "us", "our") is an AI-powered WhatsApp automation platform for small businesses, operated by PT. Alexa Solusi DIgital, incorporated in Indonesia.

2. Acceptance of Terms
By creating an account, starting a free trial, or otherwise using the Service, you confirm that:
- You are at least 18 years old (or the legal age of majority in your country)
- You have the legal authority to enter into these Terms on behalf of yourself or your business
- All information you provide is accurate and up to date
3. Description of Service
ReplyMe provides:
- AI-powered automated replies to WhatsApp messages based on your configured knowledge base
- Lead qualification and tagging
- Human handoff / escalation alerts
- A dashboard for managing conversations and contacts
We reserve the right to modify, suspend, or discontinue features at any time with reasonable notice.
4. WhatsApp Business API Requirements
Important: ReplyMe connects to WhatsApp via the official WhatsApp Business API, provided by Meta Platforms Inc.
To use the Service, you must:
- Have an approved WhatsApp Business Account (WABA) or work through a supported provider
- Comply with Meta's WhatsApp Business Terms of Service and Commerce Policy
- Ensure your use case is permitted under Meta's policies (for example no spam and no prohibited content categories)
ReplyMe is not responsible for suspension or termination of your WhatsApp number by Meta due to your policy violations.
5. User Accounts
- You must register with accurate, complete information and keep it updated
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately at hello@heyreplyme.com if you suspect unauthorized access to your account
- Each account is for one business entity. You may not share accounts or resell access unless agreed in writing
6. Acceptable Use Policy
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or messages violating WhatsApp's policies
- Transmit illegal, fraudulent, harassing, defamatory, or harmful content
- Collect or harvest personal data without users' proper consent
- Impersonate another person or business
- Reverse-engineer, decompile, or attempt to extract our source code
- Circumvent rate limits, security controls, or API restrictions
- Resell or sublicense access to the Service without written authorization
- Use the Service in any way that could damage, disable, or impair our infrastructure
We reserve the right to suspend or terminate your account for violations of this policy, without refund.
7. Subscription Plans & Pricing
7.1 Plans
We offer Starter ($10/mo), Grow ($27/mo), and Pro ($59/mo) plans as described on our Pricing page. Features and message limits apply per plan.
7.2 Free Trial
New accounts receive a 14-day free trial. No credit card is required to start. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Trial accounts may have usage limitations.
7.3 Billing
- Subscriptions are billed monthly in advance on your billing date
- Prices are in USD unless otherwise stated
- We use a third-party payment processor (for example Stripe). By subscribing, you authorize recurring charges to your payment method
7.4 Price Changes
We will provide at least 30 days' notice before increasing subscription prices. Continued use after the effective date constitutes acceptance.
8. Refunds & Cancellations
8.1 Cancellation
You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.
8.2 Refunds
- We offer a 7-day money-back guarantee for first-time subscribers on any paid plan
- After 7 days, subscription fees are non-refundable, except where required by applicable law
- To request a refund within the guarantee window, email hello@heyreplyme.com with your account details
8.3 Message Overages
If you exceed your plan's monthly message limit, the Service may reduce functionality or prompt you to upgrade. We do not automatically charge overage fees without your consent.
9. Intellectual Property
9.1 Our IP
All software, design, trademarks, and content related to ReplyMe are owned by or licensed to us. You may not copy, modify, or distribute our materials without permission.
9.2 Your Content
You retain ownership of all content you upload (for example FAQs, knowledge base, and business information). By uploading content, you grant us a limited, non-exclusive license to use it solely to provide the Service to you.
9.3 Feedback
If you submit ideas, suggestions, or feedback, we may use them to improve the Service without obligation or compensation to you.
10. Data & Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
- You remain the data controller for your customers' personal data
- ReplyMe acts as a data processor on your behalf when handling WhatsApp messages
- You are responsible for obtaining any required consents from your customers to automate their messages
11. Uptime & Service Levels
We strive for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:
- Scheduled maintenance (we will provide advance notice where possible)
- Third-party providers (including Meta/WhatsApp API outages)
- Force majeure events
We will make reasonable efforts to restore service promptly in the event of outages.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be error-free or uninterrupted
- AI-generated replies will always be accurate or appropriate
- Results from using the Service will meet your expectations
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- ReplyMe's total liability to you for any claim arising from these Terms or use of the Service will not exceed the greater of (a) the amount you paid us in the 3 months preceding the claim, or (b) USD $50
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, reputational harm, or business interruption
Some jurisdictions do not allow limitation of liability for certain damages. In those cases, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless ReplyMe, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of WhatsApp's Business policies
- Any content you upload or automate through the Service
- Your violation of any third party's rights
15. Termination
15.1 By You
You may close your account at any time by emailing hello@heyreplyme.com or through your account settings.
15.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent activity
- Fail to pay subscription fees
Upon termination, your access to the Service ends. We will retain your data for 30 days before deletion, during which you may export it.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Email at least 14 days before the change takes effect
- Posting a notice on our website
If you continue using the Service after the effective date, you accept the updated Terms. If you disagree with changes, you may cancel your subscription before the effective date.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict of law principles.
Any dispute arising from these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Jakarta, Indonesia.
For users in the EU/EEA, nothing in these Terms limits your rights under applicable consumer protection laws.
18. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReplyMe
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Our failure to enforce any provision does not constitute a waiver of our right to do so later
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign ours without restriction.
- Language: These Terms are written in English. In case of conflict with any translation, the English version prevails.
